Terms of Service
These terms govern access to and use of the products and services of Neovexa Inc., including CareAvail, Corra, PathBright, and our automation and monitoring engagements.

1
Agreement and parties
This agreement is between Neovexa Inc., a New Jersey corporation with its principal place of business at 2 Broad Street, Suite 609, Bloomfield, NJ 07003 ("Neovexa," "we," "us"), and the organization that subscribes to or purchases a Neovexa product or service (the "Customer," "you"). The Customer is the subscribing organization — not the individual users it authorizes. By subscribing to a Neovexa service, creating an account on behalf of an organization, or using a Neovexa service, you agree to these terms on behalf of that organization and represent that you have authority to do so.
Where a term below applies to a specific product, it is scoped to that product by name. All other terms apply to every Neovexa product and service.
2
The services
Neovexa provides software products and engineering services, including CareAvail (home-care agency management), Corra (care operations support), PathBright, and custom automation and monitoring engagements. Each product is provided on a subscription or engagement basis as described at the time of purchase and, for CareAvail, on the published pricing page.
3
Accounts and access
You are responsible for the users you authorize, for keeping credentials confidential, and for the accuracy of the information you provide. Adding authorized users (schedulers, supervisors, office staff, caregivers) does not change your fees — Neovexa products carry no per-seat charges. You must notify us promptly of any unauthorized use of your account.
4
Subscriptions, billing, and payment
CareAvail is offered on Starter, Pro, and Enterprise plans, on month-to-month or annual terms as published on the pricing page. Subscriptions renew automatically at the end of each billing period until cancelled. Recurring charges are billed on calendar months; the first partial month of a new subscription is prorated. Enterprise subscriptions are quoted and contracted individually.
We accept payment by card and by ACH direct debit, processed by Stripe. By providing a bank account and authorizing ACH debits, you authorize Neovexa Inc. to debit the designated account for amounts owed under your subscription, under the mandate presented at checkout, until that authorization is revoked; you may revoke it at any time by providing notice to Neovexa with thirty (30) days notice. Applicable taxes are calculated and added at billing time based on your billing address.
Payment processing costs charged to us by banks and card networks are passed through to you at cost as a separate “processing fee” line item on each invoice, in addition to the subscription price: 3% of the plan price for card payments, and 0.8% of the plan price capped at $5.00 per payment for ACH bank debits. The fee for your selected payment method is disclosed at checkout before you subscribe and is computed on the plan (base) price only, not on per-client overage charges.
5
CareAvail billing basis — what counts as a client
This section applies to CareAvail. Each CareAvail plan includes a stated number of clients per month; clients above the included count are billed at the published per-client rate.
A client counts toward your bill in a month only if they had more than one scheduled visit that month. That's the whole rule.
No status tests. No clock-in forensics. No fine print about what "active" means. If the cases were scheduled, the client counts. If they weren't, they don't.
Once a visit is scheduled it counts for that month, even if it's later cancelled, removed, or turns out to be non-billable. We count the scheduling, not the outcome — so your invoice never changes after the fact.
We bill on scheduled cases, not on your client roster. A client on your books with no scheduled visits in a month — whatever their recorded status — does not count toward that month's bill.
6
Fees
There is no setup fee on new CareAvail Starter and Pro subscriptions. Data migrations are quoted separately as one-time work and invoiced apart from the subscription. Enterprise pricing is quoted end to end. Neovexa products carry no per-seat charges.
7
Cancellation and plan changes
Month-to-month Starter and Pro subscriptions may be cancelled at any time, effective at the end of the current billing period, with no termination fee. Annual subscriptions run to the end of the paid period. Plan upgrades take effect immediately, with the price difference prorated and invoiced at the time of the upgrade. Tier downgrades are not self-serve; if you need to move to a lower tier, contact us and we will handle it with you, effected as a cancellation at period end.
8
Refunds
Fees are non-refundable. Cancelling stops future charges at the end of the current billing period; amounts already paid, including annual prepayments for the remainder of a paid term, are not refunded except where required by law.
9
Your data — ownership, export, and retention
You own your data. Data you or your users enter into a Neovexa product — client records, caregiver records, schedules, visit and EVV records, and related content — belongs to you. You may export your data at any time, at no charge, regardless of your subscription status.
After a subscription ends, we retain your data for ninety (90) days so you can complete an export, after which it is deleted from production systems, with residual copies removed from backups on the normal backup expiry cycle. We will extend the retention window on request while an export is in progress.
10
HIPAA — business associate
CareAvail processes protected health information ("PHI") on behalf of its customers. When Neovexa processes Customer data that constitutes PHI under the Health Insurance Portability and Accountability Act ("HIPAA"), Neovexa acts as a business associate of the Customer as the covered entity. That processing is governed by a Business Associate Agreement ("BAA") between Neovexa and the Customer, which is available from Neovexa and executed as part of onboarding for customers whose use of the services involves PHI. Nothing in these terms limits or disclaims obligations that HIPAA imposes on Neovexa as a business associate.
11
Acceptable use
You agree not to: use the services in violation of law or of the rights of others; attempt to gain unauthorized access to any system, tenant, or data that is not yours; probe, scan, or test the vulnerability of the services except with our prior written consent; interfere with or disrupt the services; resell or provide the services to third parties outside your organization except as agreed in writing; or use the services to send unlawful, deceptive, or unsolicited communications. We may suspend access that we reasonably believe threatens the security or integrity of the services, and will notify you promptly when we do.
12
Availability and support
We operate the services with the monitoring and engineering practices described on this site, but Starter and Pro plans carry no contractual uptime commitment. A service-level agreement is available on Enterprise plans per contract. Scheduled maintenance is performed so as to minimize disruption where practicable.
13
Warranty disclaimer
Except as expressly stated in these terms or an applicable order, the services are provided "as is" and "as available." To the maximum extent permitted by law, Neovexa disclaims all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The services are operational software for your organization; they are not medical advice, and clinical and care decisions remain yours.
14
Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to these terms, even if advised of the possibility. Except for a party's indemnification obligations, breach of confidentiality, or amounts owed under Section 4, each party's total aggregate liability arising out of or related to these terms is capped at the fees the Customer paid to Neovexa for the affected service in the twelve (12) months preceding the event giving rise to the claim. Nothing in this section limits obligations or liability that cannot be limited under applicable law, including obligations HIPAA imposes on Neovexa as a business associate.
15
Indemnification
You will defend and indemnify Neovexa against third-party claims arising from your data, your use of the services in violation of these terms or of law, or your violation of the rights of a third party. Neovexa will defend and indemnify you against third-party claims that the services, as provided by Neovexa and used as permitted, infringe a third party's intellectual-property rights. The indemnified party must give prompt notice, reasonable cooperation, and sole control of the defense to the indemnifying party.
16
Governing law
These terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules, and the state and federal courts located in New Jersey have exclusive jurisdiction over disputes arising from them.
17
Changes to these terms
We may update these terms from time to time. For material changes, we will give at least thirty (30) days notice — by email to the account owner, by notice in the product, or both — before the change takes effect. Continued use of the services after the effective date constitutes acceptance. If a change materially reduces the service you pay for, you may cancel before it takes effect.
